Terms of Service

These Terms of Service (“Terms”) govern your use of the PaySlate website at payslate.app, the PaySlate plugin, PaySlate Pro, and related services (together, the “Service”). By using the Service you agree to these Terms.

The free plugin

PaySlate is licensed under the GPL v2 or later. You may use, modify, and redistribute it under that license. It is provided as is, without warranty of any kind, and these Terms do not restrict any right the GPL grants you.

Pro licenses

When you purchase PaySlate Pro, we grant you a non-exclusive, non-transferable license to install and use Pro on the number of WordPress sites specified by the plan you select at checkout, as shown on our pricing page. Your purchase includes updates and support for one year from the date of purchase, renewable annually.

You may not resell, redistribute, sublicense, or share your license key. A license used beyond its permitted site count may be suspended until the usage is corrected or the plan upgraded.

Payments on your site

PaySlate is software. It is not a payment processor, money transmitter, or financial institution. Payments on invoices you send run through the payment gateway account you connect (Stripe, Square, or on Pro, PayPal, Checkout.com, Paddle, or Lemon Squeezy), under that provider’s own terms and fees. Card details are handled by the provider and never stored on your site or ours.

Where you choose a merchant of record gateway (Paddle or Lemon Squeezy), that provider becomes the seller of record for the transactions it processes and assumes the related tax collection and remittance obligations. PaySlate is not a party to the invoices you issue: your clients are your customers, and the accuracy and lawfulness of what you invoice is your responsibility. Nothing in the Service is tax, legal, or accounting advice.

Refund policy

We offer a 14-day refund policy from the date of purchase. If PaySlate Pro does not work as described and our support cannot resolve your issue, you are entitled to a full refund. Request one through our support page. We reserve the right to deny requests that show evidence of abuse or bad faith.

Your responsibilities

You are responsible for maintaining your own WordPress site, safeguarding your gateway credentials and license key, complying with the laws that apply to your business and your invoicing, and configuring taxes, consent, and privacy notices appropriate to your jurisdiction. Our privacy policy describes how we handle data on this website.

Warranties and disclaimers

The Service is provided as is and as available. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any payment gateway will accept or settle any particular transaction.

Limitation of liability

To the fullest extent permitted by law, our total liability for any claims arising from your use of the Service shall not exceed the amount you paid for your PaySlate Pro license in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.

Termination

You may stop using the Service at any time. We may suspend or terminate a Pro license for material breach of these Terms, including license sharing or abuse. Sections that by their nature should survive termination, including the payment disclaimers, warranty disclaimers, and limitation of liability, survive it. Termination does not affect your rights under the GPL for the free plugin.

Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida.

General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and us regarding the Service. We may update them from time to time; the date above reflects the latest revision, and continued use after a change constitutes acceptance. Questions: contact us.
